Welcome to InPAT pro. These Terms and Conditions ("Terms") govern your access to and use of InPAT pro's white-label course solutions and related services (collectively, the "Services") provided to training institutes, colleges, and CA firms ("Institutes," "you," or "your"). By partnering with InPAT pro and using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
1. Acceptance of Terms
By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms constitute a legally binding agreement between you and InPAT pro.
2. Services Provided
InPAT pro offers white-label course content, faculty training, and technical integration support in Finance, Accounting, and Data Analytics. Our Services enable Institutes to offer InPAT pro's courses under their own brand name and platform. This includes:
- Access to comprehensive course materials.
- Training for your faculty members.
- API or other technical solutions for seamless integration into your existing website or mobile app.
- Marketing support materials (brochures, posters, ad designs).
- CRM and dashboard access for managing students and leads.
3. Institute's Responsibilities
As a partner Institute, you agree to:
- Maintain the confidentiality of any access credentials provided by InPAT pro.
- Ensure that your platform and marketing efforts comply with all applicable laws and regulations.
- Handle student enrollments, admissions, and direct student support (unless otherwise agreed).
- Comply with the terms of our data processing agreement regarding student data.
- Market the courses under your own brand, acknowledging InPAT pro as the content provider where contractually required.
- Provide accurate billing and contact information.
4. InPAT pro's Responsibilities
InPAT pro commits to:
- Provide high-quality, up-to-date course content.
- Offer comprehensive training to your designated faculty members.
- Provide technical support for the integration and functionality of our course content.
- Ensure the security and integrity of the data we process on your behalf.
- Offer regular support from experts to resolve any issues promptly.
5. White-Label Model & Branding
Our Services operate on a white-label model, meaning the courses will be presented under your Institute's brand. InPAT pro will not be directly visible to your students as the course provider, unless explicitly stated in our partnership agreement or required for official certifications (e.g., Zoho Books official certification).
6. Fees and Payments
- Commitment Fee: Institutes will pay a one-time commitment fee as outlined in the specific course package. This fee is typically returned to the Institute in the form of student access credits.
- No License Fee: InPAT pro operates on a zero license fee model for the white-label solution.
- Student Access: The commitment fee includes a specified number of student accesses. Additional student accesses will be charged as per the agreed-upon rates.
- Payment Terms: All fees are subject to applicable taxes (e.g., GST) and payment terms will be detailed in your specific partnership agreement.
7. Data Privacy
Your use of our Services is also governed by our Privacy Policy, which details how we collect, use, and disclose information. For student data processed through our white-label solution, the Institute acts as the data controller, and InPAT pro acts as the data processor. Both parties agree to comply with applicable data protection laws.
8. Intellectual Property
- InPAT pro Content: All course content, materials, software, and intellectual property provided by InPAT pro remain the exclusive property of InPAT pro. You are granted a limited, non-exclusive, non-transferable license to use this content solely for the purpose of delivering courses to your students under your brand, as per these Terms.
- Institute's Branding: Your Institute retains all rights to its own branding, logos, and platform.
9. Termination
Either party may terminate the partnership agreement under the conditions specified in the individual contract. Upon termination, your access to the Services will cease, and you must discontinue all use of InPAT pro's course content and materials.
10. Limitation of Liability
To the maximum extent permitted by law, InPAT pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorized access, use, or alteration of your transmissions or content.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.
12. Changes to These Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
