Training Partner Agreement
This Training Partner Agreement (“Agreement”) is executed on this 6th day of March 2026 (“Effective Date”),
BY AND BETWEEN
InPAT pro Innovations Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at #142/143, 3rd Floor, GR Plaza, DVG Road, Gandhi Bazaar, Basavanagudi, Bengaluru – 560004, (hereinafter referred to as “InPAT pro” or “First Party”),
AND
____________________, represented by its director/partner/proprietor Mr./Ms. ____________________, having its registered address at __________________________________________ (hereinafter referred to as “Training Partner” or “TP” or “Second Party”).
InPAT pro and the Training Partner shall individually be referred to as a “Party” and collectively as the “Parties”.
1. PURPOSE
1.1 InPAT pro is an upskilling and training platform that has developed proprietary learning content, simulation-based courses, assessments, dashboards, and certification frameworks in the areas of finance, accounting, taxation, and allied domains.
1.2 The Training Partner intends to offer training programs to students using InPAT pro’s training content, simulation courses, and learning framework.
1.3 This Agreement defines the terms governing training delivery, trainer enablement, student certification, operational responsibilities, and commercial arrangements between the Parties.
2. APPOINTMENT AS TRAINING PARTNER
2.1 InPAT pro hereby appoints the Training Partner as a non-exclusive Training Partner to deliver training programs using InPAT pro-approved content and simulations.
2.2 The Training Partner shall conduct training only through trainers who have been trained and certified by InPAT pro.
2.3 Nothing in this Agreement shall be construed to create any franchise, partnership, joint venture, agency, or employment relationship between the Parties.
2.4 SUBSCRIPTION PLAN FOR TRAINING PARTNERS
2.4.1 As part of becoming and continuing as a Training Partner (TP) with InPAT pro, the TP shall subscribe to a monthly/yearly subscription plan offered by InPAT pro. The details of the subscription plan, including the monthly/yearly subscription amount and corresponding credit allocation, shall be specified in Annexure A.
2.4.2 Upon payment of the monthly subscription fee, equivalent credits except tax portion shall be made available in the TP dashboard. The TP may utilize these credits to purchase or allocate any courses available on the InPAT pro platform as per rates specified by InPAT pro from time to time.
2.4.3 InPAT pro shall raise the subscription invoice on the 1st day of every month, and the Training Partner (TP) shall ensure payment of the invoice on or before the 10th day of the same month.
2.4.4 In the event the subscription fee is not paid by the due date, the subscription shall be placed on hold, and accordingly, access to the Dashboard and trainer account shall be temporarily suspended. Reactivation of the subscription shall be subject to payment of all outstanding dues along with the applicable penalty, calculated as 5% of the subscription value if paid on or before the 20th of the month, and 20% of the subscription value if paid after the 20th but within the same billing month.
2.4.5 If the subscription fee remains unpaid for a period of 30 days from the date of billing, the arrangement shall be deemed terminated, and all applicable termination clauses under this Agreement shall apply.
2.4.6 Maximum Credit balance in Training Partner dashboard cannot exceed the annualized value of subscription taken.
2.4.7 The subscription fee paid for any billing period shall be non-refundable.
3. STUDENT ENROLLMENT & COURSE FEES
3.1 The Training Partner shall enroll students directly for the training programs and shall be solely responsible for fee collection from students.
3.2 Course fees charged to students shall be mutually discussed and aligned with the recommended pricing framework as given in Annexure A and which will change from time to time.
3.3 Training Partner agreed to purchase Student Access as and when required and the payment made against the same shall be non-refundable under all circumstances.
3.4 Student access to the learning content and simulations shall be provided for a period of one (1) year from the date of access activation.
3.5 Once Student Access is provided, the same shall be non-refundable and non-transferable under all circumstances
4. STUDENT CERTIFICATION
4.1 Students who successfully complete the training program and meet the prescribed assessment criteria shall receive certification directly from the Training Partner.
4.2 Certification criteria, passing scores, and assessment structure shall be defined by InPAT pro and communicated to the Training Partner.
4.3 The Training Partner shall issue certificates to the students as generated through portal after successful completion of assessment, strictly in accordance with the standards prescribed by InPAT pro.
5. TRAINER TRAINING & CERTIFICATION
5.1 InPAT pro shall provide training, enablement, and certification programs for trainers nominated by the Training Partner.
5.2 Only trainers who are certified by InPAT pro shall be permitted to deliver training under this Agreement.
5.3 Trainer certification validity shall be two (2) years from the date of certification, and renewal terms and evaluation criteria shall be as specified by InPAT pro from time to time.
5.4 Trainer access shall be provided by InPAT pro in accordance with the pricing specified in Annexure A. InPAT pro may, at its sole discretion, grant complimentary trainer access based on the performance of the Training Partner.
6. LEARNING CONTENT & SIMULATION COURSES
6.1 InPAT pro has developed proprietary simulation-based courses, case studies, projects, and assessments to provide hands-on learning experience to students.
6.2 The Training Partner is granted a limited, non-exclusive, non-transferable right to use such content solely for training enrolled students.
6.3 The Training Partner shall not copy, reproduce, distribute, resell, sublicense, or modify the content or simulations without prior written consent from InPAT pro.
7. TRAINING OPERATIONS
7.1 The Training Partner shall be responsible for: - Student admissions and onboarding - Class scheduling and delivery - Trainer allocation - Student communication and support
7.2 The Training Partner shall conduct all training programs in a professional and ethical manner.
7.3 The Training Partner shall not make any misleading representations regarding certification, placement, or guarantees.
8. INTELLECTUAL PROPERTY
8.1 All intellectual property rights in the training content, simulations, assessments, trademarks, and materials shall remain the sole property of InPAT pro.
8.2 No ownership rights are transferred to the Training Partner under this Agreement.
9. CONFIDENTIALITY
Each Party agrees to maintain confidentiality of all non-public, proprietary, or confidential information received from the other Party and shall not disclose such information to any third party without prior written consent.
10. INDEMNITY
The Training Partner shall indemnify and hold harmless InPAT pro from any claims, losses, damages, or liabilities arising out of improper training delivery, misrepresentation, or breach of this Agreement.
11. TERM & TERMINATION
11.1 This Agreement shall be valid for a period of one (1) year from the Plan Start Date and shall automatically renew unless terminated.
11.2 Either Party may terminate this Agreement by providing Sixty (60) days’ written notice.
11.3 The Training Partner shall be provided a period of 60 days termination period from the date of receipt of the notice to utilize any balance credits available in the Dashboard. Any credits remaining unutilized after the expiry of this period shall automatically lapse, and the Training Partner shall not be permitted to enroll or add any new students thereafter. However, students already enrolled shall continue to have access to the course for the remaining duration of their access period within the applicable one-year term.
11.4 In the event the termination arises due to non-payment of the subscription fee and without written notice, all services will be terminated and balance credit in dashboard will lapse on expiry of 30 days from the date of billing.
11.5 Post 60 days from the date of termination notice, the Training Partner shall immediately cease use of all InPAT pro services & all credit in dashboard will lapse.
12. GOVERNING LAW & JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of India. Courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
